Refresh IT - Terms And Conditions

1. PRODUCT
1.1. REFRESH IT LTD offers professional IT services and bespoke support solutions, specialising in supporting small to medium-sized businesses (SMBs). Our areas of expertise in IT support include server and network support and installation, and website design and development.

2. QUOTATION
2.1. Quotations are based on the requirements specifically requested and agreed by the client.
2.2. Quotations will be valid for 21 days after issue.
2.3. Quotations can be based on either the REFRESH IT LTD standard hourly rate or on an agreed fixed fee. This will depend on the nature and complexity of the client’s unique requirements.

3. DEPOSIT
3.1. A non-refundable deposit of 25% will be required before any project or service is initiated. See 6.2.
3.2. All hardware, software or third party services are to be paid in full before.

4. CANCELLATION
4.1. A client has the option cancel their order at anytime.
4.2. All cancellations must be made in writing providing at least 7 days notice period of their intention.
4.3. The client will be charged for all work undertaken up to and including the cancellation date based on the quantum merit rule.

5. INVOICING
5.1. Invoices will be based on agreed quotation(s).
5.2. Invoices will not exceed agreed quotation(s).
5.3. Invoices will be sent within 14 days of agreed project / service delivery date.
5.4. Invoices will be valid from date specified on invoice, not date of issue.

6. PAYMENT
6.1. Payments are to be made in full within 15 days of date specified.
6.2. Payments of deposits are to be made in full within 7 days of date specified.
6.3. Payment receipts will be issued immediately once payment has been made and cleared.
6.4. Acceptable methods of payment include BACS, cheque or cash.
6.5. LATE PAYMENT
6.5.1. REFRESH IT LTD reserves the right to suspend developments or services until an outstanding balance is paid in full.
6.5.2. REFRESH IT LTD will charge for the administration of pursuing outstanding invoices.
6.5.3. REFRESH IT LTD will if necessary instruct their legal representatives to commence legal proceedings against a client if all attempts have failed in respect of an outstanding invoice. This is a last resort and the costs associated with the same will be paid by the client.

7. PROJECT / SERVICE DELIVERY
7.1. Upon agreement of quotation and payment of deposit, a completion date will be agreed by both parties.

8. SUPPORT
8.1. All developments will be supported free of charge for the first 30 days after the implementation date.
8.2. All additional support will be charged at the REFRESH IT LTD standard hourly rate.
8.3. All requests for support must be recorded online at http://refresh-it.net/help.
8.4. REFRESH IT LTD offers no response or resolution guarantees to all support requests.

9. SERVICE
9.1. Domain names are not directly provided by REFRESH IT LTD. Domain names will be registered with WEBFUSION LTD trading as 123 REG or with a clients existing service provider.
9.2. Hosting packages are not directly provided by REFRESH IT LTD. Hosting packages will be registered with WEBFUSION LTD trading as 123 REG or with a clients existing service provider.
9.3. REFRESH IT LTD will not monitor or renew clients registered domain name(s).

10. INTELLECTUAL PROPERTY RIGHTS
10.1. All intellectual property rights of the website, programming code and design are vested in and become the property of the client upon payment completion.
10.2. The client agrees that they are solely responsible for complying with all applicable Electronic Commerce Laws, taxes and tariffs, meaning REFRESH IT LTD or its subcontractors are not responsible for any claim, penalty or tax arising from the client’s exercise of electronic commerce.

11. COMPLAINTS
11.1. All complaints must be made in writing addressed to REFRESH IT LTD indicating the precise nature and details of the complaint.
11.2. The complaints will be fully investigated and will take no longer than 21 days.
11.3. The findings of the investigation will be placed in writing to the client.
